Facilitator: Sharon Nokes
This workshop will provide soup-to-nuts guidance for launching and maintaining a tax-exempt, nonprofit organization. Topics to be covered will include:

- Forming Your Organization: incorporation, the first organizational meeting, securing an employer identification number, setting up
- Understanding the Pros and Cons of 501(c)(3) Status: charitable contributions, public support rules, unrelated business taxable income, restrictions on lobbying
- Securing Federal and State Tax Exemptions: the Form 1023, fiscal sponsorships as an alternative to a stand-alone charity, related state registrations
- Ongoing Compliance Requirements: maintaining adequate books and records, the Form 990, annual state reporting
Speaker Profile:
Ms. Nokes counsels clients on a variety of tax, corporate, and compliance issues, including executive compensation, structuring charitable and unrelated business activities, domestic and international grantmaking, program-related investing, transactions with for-profit organizations, lobbying and political activities, and corporate governance. She has considerable experience with the rules governing private foundations, supporting organizations, and donor-advised funds, and also provides guidance to donors regarding their charitable giving alternatives.
In her role as General Counsel for a nonprofit, Ms. Nokes has intimate knowledge of the inner workings of tax-exempt organizations. These insights allow her to offer clients comprehensive and creative, yet pragmatic, solutions to address the unique challenges facing nonprofits. Ms. Nokes’ professional background in the arts has also proven to be an asset for clients serving a wide range of cultural and artistic missions.
Ms. Nokes holds a Bachelor of Music degree from the Eastman School of Music; a Master of Music degree from the Manhattan School of Music; and a J.D. from Georgetown University Law Center. Before entering the legal profession, Ms. Nokes was a professional musician, performing with several orchestras and chamber ensembles in New York City and in the Washington, D.C., metropolitan region, and serving as the principal flutist of the United States Air Force Band in Washington, D.C.
